Limited-Use Health Industry Number (HIN) for Reseller/Distributors

By obtaining this data (hereafter called “HINs”), I (hereinafter referred to as the Limited-Use Licensee Organization) hereby agree that I am obtaining my Health Industry Number (HIN) from the Health Industry Business Communications Council (hereinafter referred to as HIBCC or the Licensor) for the time period and license fee as stated in my account . I further agree to the following terms:

HINs and any compilation of HINs remain the sole property of HIBCC. The Limited-Use Licensee will take no action to infringe on the rights of the Licensor therein.
1. This Agreement shall take effect upon receipt of the HIN.
2. Limited-Use Licensee agrees that obtaining its HIN does not authorize the Limited-Use Licensee Organization to receive HIN data from any sources, including its customers or trading partners. If the Limited-Use Licensee Organization is receiving HIN data from any source(s), it must obtain a full HIN system license.
3. Limited-Use Licensee acknowledges that the Data constitutes valuable copyrighted and proprietary information of Licensor, covered by the Copyright Registrations #TX-8-748-740, #TX-6-589-387, and #TX-5-522-923. Limited-Use Licensee agrees not to release data to any other individual, association, firm, parent or subsidiary organization, or other entity whatsoever, except as permitted by Licensor. The HIBCC Authorized Full HIN System Licensees list can be found at: here. The Authorized Full HIN System Licensee list contains only the organizations that have a current license to the full HIN System. This agreement does not correspond to a full HIN System license.

4. The obligation of confidence and nondisclosures assumed by Limited-Use Licensee hereunder shall not apply to: a) the information which at the time of disclosure is in the public domain; or b) Information which thereafter lawfully becomes a part of the public domain other than through disclosure by Licensee, or c) information known to Licensee prior to licensors’ disclosures to Limited-Use Licensee; or d) Information which is lawfully disclosed to Limited-Use Licensee by a third party not under an obligation of confidentiality to licensor with respect to said information.

5. Limited-Use Licensee acknowledges that this agreement and corresponding HIN(s) are renewable at quarterly intervals beginning with the date stated in the certificate issued and subject to the corresponding renewal fees (Limited-Use Licensee will be notified by HIBCC upon renewal). HIBCC reserves the right to terminate HINs in the event of non-payment or any violation of the terms herein.

Having read the above, and having understood the terms and conditions of the Agreement, Limited-Use Licensee agrees to assume full responsibility for compliance with this agreement. Any breach of this Agreement or any terms therein will subject Limited-Use Licensee to any and all injunctive relief and legal and equitable remedies available to the Licensor.

By checking this box, I authorize HIBCC to charge my credit card above for $500 at quarterly intervals, beginning with the first quarter after my initial payment. Quarterly renewal payments will be processed on the first day of each quarter (January 1st, April 1st, July 1st, October 1st). Renewal receipts will be automatically provided on the date the payment is processed.
