End User License Agreement
You should carefully read the following
terms and conditions before using the UPNŽ Repository electronic
file. Unless you have a different license agreement signed by HIBCC
your use of this file indicates your acceptance of this license
agreement and warranty.
License Agreement
HIBCC grants to LICENSEE a
non-transferable and non-exclusive right and license to use the UPNŽ
Repository according to the terms and conditions set forth in this
Agreement. Save as expressly granted by the Agreement, the LICENSEE
acquires no right, title or license in the data incorporated in the
UPNŽ Repository.
This License is personal to the
LICENSEE and may not be assigned, transferred or sublicensed in whole
or in part without the prior consent in writing of HIBCC. The use of
all or any part of the UPNŽ Repository by anyone other than the
LICENSEE's Authorized Users or at any place other than the Licensee's
registered site is expressly prohibited.
USE OF THE UPNŽ Repository
One registered copy of the UPNŽ
Repository may be used by a individual or entity that uses the file on
one or more computers, installed on a local area network for multiple
operational administrative use, or installed on a wide area network
for institutional wide usage which incorporates reasonable security
precautions including but not limited to those set forth herein, to
limit access to LICENSEE's authorized users. The UPNŽ Repository can
be integrated into non-commercial systems to be used only by
registered institutions.
LICENSEE and its Users shall not:
a) use all or any part of the UPNŽ
Repository for, or as part of the operation of, a service bureau or
other for profit or not for profit business, product based on the
redirection or resale of the licensed database or system components
without the express written consent of HIBCC;
b) transmit on a network or make any
portion of the UPNŽ Repository available in machine-readable form in
any format to any person, group or organization that is not itself a
registered User, including for noncommercial uses without the express
written consent of HIBCC;
c) reproduce on CD-ROM or convert
complete or substantial portions of the UPNŽ Repository into/onto any
other medium, without the express written consent of HIBCC;
d) rent, lease, barter, assign, lend,
sell, transfer, convey or give all or any part of UPNŽ Repository to
any person, company or institution without the express written consent
of HIBCC.

RIGHTS IN DATA
The UPNŽ Repository is owned by HIBCC
and is protected by copyright and other laws that recognize the rights
of copyright holders.
HIBCC owns all rights, titles and
interests in and to the material capable of protection by copyright in
the United States of America and elsewhere in the world included in
the UPNŽ Repository.
SUPPORT FOR LICENSE
LICENSEE accepts sole responsibility
and liability for installation of all system components of UPNŽ
Repository and for all use of UPNŽ Repository under the terms of this
Agreement.
LICENSEE shall provide all support to
its authorized Users.
LIMITED WARRANTY
HIBCC warrants that it is the sole
beneficial owner of copyright and all other intellectual rights in
UPNŽ Repository.
HIBCC makes no other warranty or
representation, either expressed or implied, with respect to UPNŽ
Repository or its quality, performance or fitness for a particular
purpose.
Neither HIBCC nor its third party
licensors shall be liable in any manner whatsoever for any damages
(including, without limitation, damages for loss of business projects,
business interruption, loss of business information or other pecuniary
loss) arising (whether in contract or tort) out of the use of or
inability to use UPNŽ Repository by LICENSEE whether or not the
possibility of such damages shall have previously been notified by
LICENSEE to HIBCC.
ENTIRE AGREEMENT
This Agreement Constitutes the entire
agreement between HIBCC and the LICENSEE as to the subject matter
hereof and supersedes all previous communications, representations and
arrangements, either written or oral, and the LICENSEE hereby
acknowledges that no reliance is placed on any representation made but
not embodied in this Agreement.
By registering and acquiring the UPNŽ
Repository file you accept the terms of this agreement.
